What is the difference between an LLC and an LLC-C?

LLC Tax Classification (General Information)

After an LLC is formed, it begins in the default federal tax classification.

This means that the LLC’s income is reported by the owner as part of their individual tax reporting (commonly referred to as pass-through taxation).


The LLC is legally a separate company, but for federal tax purposes it is treated as part of the owner’s business activity.

This default classification is common when:

  • the business is at an early stage,

  • operations are simple,

  • the owner prefers straightforward reporting.

This default classification applies automatically.


No separate filing is required when the LLC is formed.

Option to Elect Corporate Tax Classification (LLC → C-Corp)

After obtaining an EIN, an LLC may elect to be taxed as a C-Corporation by filing Form 8832 with the IRS.

This election changes how the company is taxed at the federal level.

In this classification:

  • The company reports and pays federal tax as a separate entity.

  • Profits may remain in the company and can be distributed to the owner in various forms (e.g., salary or dividends).

  1. The LLC is formed.
